TERMS AND CONDITIONS OF USE

D.H. Pace Company, Inc. ("D.H. Pace"), has developed the website found at targetnavigator.dhpace.com ("Target Navigator") exclusively for the purpose of facilitating and expediting the provision of door products and services to Target stores by D.H. Pace. D.H. Pace considers the Target Navigator to be its proprietary information. Only D.H. Pace and Target employees, respectively, are authorized to make use of the Target Navigator, and only in connection with the door related business conducted between Target and D.H. Pace. Furthermore, in conducting door related business with D.H. Pace, Target's employees or representatives may disclose to D.H. Pace certain technical and other information related to Target's business and assets (herein, said technical and other information, collectively with the Target Navigator, is referred to as the "Confidential Information"). The Confidential Information includes not only written information, but also information transferred orally, visually, electronically or by any other means to D.H. Pace, including information relayed via the Target Navigator.

In consideration of Target's and D.H. Pace's mutual desire to conduct door related business together, in order to expedite and enhance the efficiency of said door related business, and for other good and valuable consideration, each user of the Target Navigator hereby expressly agrees to the following Terms and Conditions of Use:

1. The Confidential Information, including the Target Navigator, will be used solely for the purpose of conducting door related business with D.H. Pace.
2. Target and D.H. Pace shall keep all Confidential Information secret and confidential and shall not disclose it to anyone except those persons who are actually engaged in the door related business between D.H. Pace and Target.
3. Target employees and their representatives may not:
   1. Republish material from the Target Navigator (including republication on another website);
   2. Sub-license material from the Target Navigator;
   3. Reproduce, duplicate, copy or otherwise exploit material on this website for any purpose other than conducting door related business with D.H. Pace;
   4. Edit, impair, alter or modify the Target Navigator;
   5. Share the Target Navigator with any third party, or provide any third party with access to the Target Navigator;
   6. Use the Target Navigator in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of the website;
   7. Use the Target Navigator in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity; or
   8. Use the Target Navigator website for any purpose other than to facilitate the door related business between D.H. Pace and Target.
4. The user understands and agrees that the Target Navigator is provided for the authorized use as described above "as is," without any representations or warranties, express or implied.
5. By using the Target Navigator website the user expressly agrees to the foregoing Terms and Conditions of Use.
